Terms of Service

PLEASE READ THESE TERMS OF SERVICE CAREFULLY. BY ACCESSING OR USING PLUTONUS, YOU AGREE TO BE BOUND BY THESE TERMS. IF YOU DO NOT AGREE, DO NOT USE PLUTONUS.

IMPORTANT: THESE TERMS INCLUDE AN ARBITRATION AGREEMENT REQUIRING INDIVIDUAL ARBITRATION OF MOST DISPUTES AND A WAIVER OF CLASS ACTIONS AND JURY TRIALS. PLEASE REVIEW SECTION 15 CAREFULLY.

Plutonus connects the financial accounts you link to AI assistants and applications that support the Model Context Protocol (“MCP”), such as Claude and ChatGPT. By accessing or using the Service, you agree to be bound by these Terms and our Privacy Policy, which is incorporated by reference. If you do not agree, stop using the Service immediately.

1. Eligibility

You must be a resident of the United States and at least 18 years old to use Plutonus. By using the Service, you represent and warrant that you meet these requirements. We may limit or restrict access to the Service for any user, geographic region, or jurisdiction at any time in our sole discretion.

2. Account Registration and Authentication

To use Plutonus, you must create an account at plutonus.app. You agree to:

• Provide accurate, current, and complete information during registration and keep it updated;
• Maintain the confidentiality of your account credentials and of any access tokens Plutonus issues — including tokens used to connect AI assistants — and not share them with any other person; and
• Notify us immediately at hello@plutonus.app if you suspect unauthorized access to your account or any connected assistant.

You are solely responsible for all activity that occurs under your account or through tokens issued to you, whether or not authorized by you.

By creating an account, you consent to receive account-related communications from us, including one-time passcodes for authentication and security or service notifications. Where you provide a mobile number, we send these by SMS; we may also send communications by email. Message and data rates may apply to SMS. Information obtained as part of SMS consent will not be shared with third parties or affiliates except with service providers that operate our messaging on our behalf. You may opt out of non-essential communications by contacting us at hello@plutonus.app, though opting out of authentication messages may prevent you from signing in.

3. Limited License and Use Restrictions

3.1 Limited License

Subject to your continued compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Service solely for your personal, non-commercial financial management purposes. All rights not expressly granted to you are reserved by Kikoff and its licensors.

3.2 Use Restrictions

You agree that you will not:

• Use the Service for any unlawful purpose or in violation of any applicable law or regulation;
• Attempt to reverse engineer, decompile, disassemble, or derive the source code of the Service;
• Attempt to gain unauthorized access to our systems, other user accounts, or connected financial accounts;
• Rent, lease, sell, sublicense, assign, or otherwise transfer the Service or any rights in it;
• Access or use the Service for competitive analysis or to build a competing product or service;
• Use automated means (bots, scrapers, crawlers, spiders) to access the Service except through the documented MCP and API interfaces;
• Transmit viruses, malware, or any code designed to interfere with the operation of the Service;
• Use the Service to harass, harm, or defraud others; or
• Share or resell access to the Service to third parties.

4. Connecting Your Financial Accounts (Plaid)

4.1 Plaid Authorization

Plutonus uses Plaid Inc. (“Plaid”) to enable you to connect your bank, card, and brokerage accounts to the Service. When you connect an account, you authorize Plutonus and Plaid to access your financial data on a read-only basis, including account balances, transaction history, and account holder information. This authorization does not permit Plutonus or Plaid to initiate transfers, make payments, or perform any transaction on your behalf.

4.2 Acceptance of Plaid's Terms

When you connect your financial accounts, you agree to Plaid's terms, including Plaid's End User Privacy Policy (https://plaid.com/legal).

4.3 Disconnecting Accounts

You may disconnect your financial accounts at any time through the Service. Previously accessed data may continue to be retained as described in our Privacy Policy until you delete your account.

4.4 Accuracy of Financial Data

We make no guarantee about the accuracy, completeness, or timeliness of financial data provided by Plaid or your financial institutions. You should verify important financial information directly with your bank.

5. Connecting AI Assistants (Model Context Protocol)

5.1 How Plutonus Works

Plutonus lets you connect third-party AI assistants and applications — such as Claude, ChatGPT, and other clients that support the Model Context Protocol (“MCP”) — to the financial data you have linked to the Service. When you authorize an AI assistant, you grant that client permission to query and retrieve your connected financial data through Plutonus on a read-only basis, using scoped access tokens that you can revoke at any time.

5.2 Connected AI Assistants Are Independent Third Parties

AI assistants and MCP clients that you connect are operated by independent third parties, not by Kikoff. Your use of any such assistant is governed by that third party's own terms of service and privacy policy. We do not control, and are not responsible for, how a connected assistant uses, stores, transmits, displays, or further shares the financial data it retrieves through Plutonus, nor for the content, accuracy, or availability of that assistant.

5.3 You Control What You Connect

You decide which AI assistants to connect and what they may access. You are responsible for reviewing the terms and privacy practices of any assistant before connecting it, and for the consequences of sharing your financial data with it. You may revoke an assistant's access at any time through the Service. Revocation stops future access but does not retrieve or delete data the assistant has already obtained.

5.4 Your Data Leaves Our Control Once Retrieved

Once your financial data is delivered to a connected AI assistant at your direction, it is subject to that assistant's policies and is not under Kikoff's control. You acknowledge that connected assistants may transmit your data to their own model providers and infrastructure.

5.5 The execute_sql Tool (Beta) and Responsible Use

Plutonus offers an execute_sql tool that runs read-only SQL queries — composed by you or by a connected AI assistant on your behalf — against your own financial data. It is offered as a Beta feature. We may rate-limit, change, suspend, or withdraw it at any time, with or without notice.

You agree to use the execute_sqltool only to analyze your own financial data for lawful purposes, and not to attempt to access another user's data, to circumvent or exceed usage quotas, or to probe, overload, or attack the Service.

Query logging. For safety, abuse prevention, and debugging, we log the text of your queries and the number of rows they return. We do not log the query results or the financial-data values they contain. By using the execute_sql tool you consent to this logging.

6. AI Features and Important Disclaimers

6.1 AI-Powered Features

The Service exposes your financial data to AI assistants you connect and may also provide its own AI-powered features. These features use large language model (LLM) technology to analyze financial data and generate responses, summaries, and insights.

6.2 Plutonus Does NOT Provide Financial, Investment, or Legal Advice

ALL CONTENT, INSIGHTS, RECOMMENDATIONS, AND RESPONSES GENERATED THROUGH PLUTONUS OR BY ANY AI ASSISTANT YOU CONNECT TO IT ARE PROVIDED FOR INFORMATIONAL AND ORGANIZATIONAL PURPOSES ONLY. THEY DO NOT CONSTITUTE FINANCIAL, INVESTMENT, TAX, ACCOUNTING, OR LEGAL ADVICE.

Plutonus is not a registered investment advisor, broker-dealer, financial planner, or financial institution. No information or content provided through the Service constitutes a legal opinion or creates any professional relationship between you and Kikoff. You should not rely on AI outputs as a substitute for advice from qualified professionals. You may wish to consult with a licensed financial advisor, accountant, or attorney before making financial decisions.

6.3 AI Limitations

AI assistants generate responses based on the financial data you connect and their underlying training — not on real-time market data, current tax law, or a complete picture of your finances. Their outputs can be confidently stated but factually wrong, inconsistent across sessions, or based on information that has since changed. AI assistants may miscategorize transactions, misread merchant names, or misinterpret account structures. Responses are generated automatically and are not reviewed by licensed financial professionals before being shown to you.

You should independently verify any specific figures, dates, or recommendations before acting on them. Plutonus is a tool to help you organize and understand your financial data — not a substitute for professional financial judgment.

7. Intellectual Property

The Service, including all software, design, text, graphics, and other content (“Plutonus Content”), is owned by Kikoff Inc. and protected by applicable intellectual property laws. These Terms do not grant you any rights to our intellectual property except as necessary to use the Service as described herein.

You retain ownership of all personal data and content you provide through the Service. By using the Service, you grant us a limited, non-exclusive, worldwide, royalty-free license to use your data solely to operate and provide the Service — including transmitting it to AI assistants you connect and to our service providers — consistent with our Privacy Policy.

If you choose to submit ideas, suggestions, or feedback about the Service (“Feedback”), you grant us a perpetual, irrevocable, worldwide, royalty-free, fully paid, sublicensable license to use, modify, and exploit such Feedback without restriction or compensation to you.

8. Privacy

Our collection and use of your personal information is governed by our Privacy Policy.

9. Fees and Subscription

Plutonus may be offered through free and paid subscription tiers. Any fees, billing frequency, and the features included in each tier will be clearly disclosed before you are charged. By starting a paid subscription, you authorize us, through our third-party payment processor, to charge the applicable fees to your payment method.

Unless otherwise stated at the time of purchase: subscriptions renew automatically at the end of each billing period until you cancel; you may cancel at any time through the Service, with cancellation taking effect at the end of the current billing period; and fees already paid are non-refundable except where required by law. We may change our fees on a prospective basis with reasonable advance notice, and we may suspend or downgrade access for non-payment.

10. Account Termination and Deletion

10.1 Termination by You

You may delete your account at any time through the Service. When you do, we immediately end your access and revoke the access tokens issued to you and to any connected AI assistants, and we free your phone number and email for future registration.

Your account is recoverable for 30 days after deletion. To restore it, contact us at hello@plutonus.app. After that window, we automatically and permanently delete the personal and financial data associated with your account across our systems and providers, including disconnecting your linked accounts at Plaid, as described in our Privacy Policy. We retain limited anonymized security and audit records for up to 90 days to meet legal and compliance obligations, and residual copies may persist in backups for a limited period.

10.2 Termination by Us

We may suspend or terminate your access to the Service at any time, with or without cause, including if we believe you have violated these Terms, if we suspect fraudulent or harmful activity, or if providing the Service is no longer commercially or technically feasible. We will provide notice where reasonably practicable, but are not obliged to do so.

10.3 Effect of Termination

Upon termination, the rights and licenses granted to you will immediately cease and you must stop using the Service. Sections 5, 6, 7, 11, 12, 13, 15, and any other provisions that by their nature should survive will continue in effect after termination.

11. Disclaimers

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, OR NON-INFRINGEMENT.

We do not warrant that:

• The Service will be uninterrupted, error-free, or secure;
• Financial data provided through Plaid will be accurate or complete;
• AI-generated content — whether produced by the Service or by a connected AI assistant — will be accurate, reliable, or appropriate for your circumstances;
• Any third-party AI assistant or MCP client will be available, secure, or handle your data in any particular way; or
• Any defects in the Service will be corrected.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, KIKOFF INC. AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE THE SERVICE, OR TO ANY AI ASSISTANT YOU CONNECT TO IT, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL LIABILITY TO YOU FOR ANY CLAIMS ARISING UNDER THESE TERMS SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO US IN THE TWELVE MONTHS PRECEDING THE CLAIM OR (B) FIFTY DOLLARS ($50).

13. Indemnification

You agree to indemnify, defend, and hold harmless Kikoff Inc. and its officers, directors, employees, and agents from any claims, liabilities, damages, costs, and expenses (including reasonable attorneys' fees) arising from your use of the Service, your decision to connect any AI assistant, your violation of these Terms, or your violation of any rights of a third party.

14. Governing Law

These Terms are governed by the laws of the State of California, without regard to its conflict of law principles, except where otherwise required by applicable law.

15. Dispute Resolution by Binding Arbitration; Jury Trial and Class Action Waiver

PLEASE READ THIS SECTION CAREFULLY AS IT AFFECTS YOUR LEGAL RIGHTS.

Most concerns can be resolved quickly by contacting us at hello@plutonus.app. If a dispute cannot be resolved informally, you and Kikoff agree to resolve any claim, dispute, or controversy arising out of or relating to these Terms or the Service (“Claim”) exclusively by binding, individual arbitrationadministered by the American Arbitration Association (“AAA”) under its applicable rules.

• No Class Actions: Claims must be brought on an individual basis only. You and Kikoff each waive any right to participate in a class, collective, or representative action.
• No Jury Trial: By agreeing to arbitration, you waive the right to a jury trial.
• Small Claims Exception: Either party may bring a qualifying claim in small claims court.
• Location and Fees: Arbitration will be held in San Francisco, California, or virtually. Each party will be responsible for its own legal fees and costs unless otherwise required by law.
• Opt-Out: You may opt out of this arbitration provision within 30 days of first agreeing to these Terms by sending written notice to: Kikoff Inc., Attn: Plutonus, 633 Folsom St., Suite 300, San Francisco, CA 94107. Your opt-out will not affect any other provision of these Terms.

16. Changes to These Terms

We may update these Terms from time to time. If we make material changes, we will provide notice within the Service or through other reasonable means. Your continued use of the Service after the updated Terms take effect constitutes your acceptance of the new Terms.

17. Miscellaneous

• Entire Agreement: These Terms and our Privacy Policy constitute the entire agreement between you and Kikoff regarding the Service.
• Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.
• Waiver: Our failure to enforce any provision of these Terms is not a waiver of our right to enforce it in the future.
• Assignment: You may not assign your rights under these Terms without our prior written consent. We may assign our rights freely.
